Spain's Civil Code (Arts. 1822–1856) governs fianza (suretyship), an accessory, subsidiary guarantee where the surety can raise all defences of the principal debtor. Bank avales are typically solidary (subsidiary benefit waived) under Art. 1831.2 CC.
Garantías autónomas a primer requerimiento (governed by URDG 758 or UCP 600 if chosen) are independent of the underlying obligation: the bank pays on documentary compliance alone, regardless of whether the underlying breach exists.
The only exception: manifest abuse (STS 1ª 345/2024), the beneficiary must have no material right to the guarantee and must know it. Courts grant no-pay injunctions only with clear documentary evidence of fraud; a mere contractual dispute is insufficient.
